Allens acts for Hutchison in merger with Vodafone

Allens Arthur Robinson (Allens) is acting for Hutchison in the merger of its Australian telecommunications business with Vodafone creating a 50:50 joint venture, VHA Pty Limited (VHA).
Allens advised Hutchison on the complete transaction, having a key role across three streams: Corporate, Integration Strategy and Competition.
Allens' Corporate team advised on transactional documents, ASX requirements, shareholder resolutions and FIRB submissions; the Integration Strategy team provided advice on the complex integration of the two businesses; and the Competition team worked on Australian Competition and Consumer Commission (ACCC) issues.
Corporate was led by Partners Victoria Poole and Andrew Finch, the Integration Strategy team was led by Partner Peter James, with Fiona Crosbie heading up the Competition team.
According to Fiona Crosbie: 'This was a complex transaction involving a team of lawyers from Australia and Asia, all working on a very tight deadline.
'We are proud to be part of this important industry change.'
The completion of the merger is expected to occur in mid 2009, subject to approval by Hutchison shareholders, the ACCC and the Foreign Investment Review Board.
