Rod’s recent relevant experience includes:

  • Liontown Resources Limited  advising Liontown in respect of the project financing for the Kathleen Valley project.
  • Wesfarmers – on its financing arrangements, including its bilateral ESG linked loan.
  • Coles – on its demerger financing arrangements.
  • Zen Energy – on its loan note programme and mezzanine project financing arrangements.
  • Zenith Energy – on its portfolio debt financing arrangements.
  • Northern Star Resources Limited – advising the bank group to Northern Star Resources Limited on the provision of new and existing debt facilities to fund the $1.16 billion acquisition of Newmont Goldcorp Australia's 50% interest in Kalgoorlie Consolidated Gold Mines Pty Ltd (KCGM) and associated assets.
  • Perseus Mining – the lenders on its financing arrangements for its mining operations in Cote d'Ivoire and Ghana.

Rod also has expertise acting for various superannuation funds, financial institutions, corporates and other investment vehicles across a range of financial products, including derivatives, repos, securities lending, prime brokerage and collateral management. He has familiarity with industry standard documentation, as well as purpose specific documentation such as those prepared by proprietary banks and other organisations.   • Inhousing – on inhousing of all derivative documentation for superannuation funds.
  • Initial Margin – on the full implementation of bank custodian documentation for a number of superannuation funds and investment managers.
  • Transaction reporting – numerous clients on potential breaches of the derivative transaction reporting rules.
  • Repos – establishing repo programmes for investment and superannuation funds.
  • Australian swap advice – advising numerous onshore and offshore clients in relation to all regulatory requirements affecting swaps over Australian listed entities, including licensing requirements and insider trading, including in relation to potential breaches.
  • Australian OTC reforms – clients on the impact of the ASIC derivative reporting and clearing obligations.
  • Total return swaps – various clients on using total return swaps, collars and securities lending as part of a toe-holds stake build for potential control transactions for ASX listed entities (many never released to market).
