About James Nguyen

James is a Managing Associate in the Corporate team in Sydney. He specialises in mergers and acquisitions with a focus on private equity and other financial sponsors. He has advised on a wide range of public and private M&A transactions across a number of sectors including share and asset sales, privatisations, schemes of arrangement, carve-outs, corporate restructures, joint ventures, founder-led transactions, competitive sale processes and cross-border deals.

James spent time on secondment in New York at a leading private equity law firm where he worked on a number of matters involving some of the largest private capital sponsors globally.

James' recent private equity M&A experience includes advising:
  • Quadrant Private Equity – on the acquisition of Australia's and New Zealand's leading supplier to the civil construction and infrastructure sector, Jaybro and proposed bolt-ons to the business.
  • BGH Capital – on the sale of Navitas’ European assets to AD Education and proposal to acquire Hansen Technologies Ltd by way of scheme arrangement.
  • KKR – on its proposed bid for Ramsay Health Care Limited for $20 billion.
  • Cerberus Private Equity – on the acquisition of the Bluestone group.
  • GI Partners – on the sale of Generate Life Sciences to CooperCompanies for $1.6 billion, and the acquisition of Cell Care.
  • Madison Dearborn Partners – on the acquisition of Australian Personnel Management from Quadrant Private Equity and its founder shareholders.
  • Pacific Equity Partners – on the sale of automotive parts manufacturer AutoPacific to GUD Holdings, the sale of LifeHealthcare to EBOS, and various bolt-ons to LifeHealthcare.
  • MSD – Woolpert, a MSD portfolio company, on an Australian target bolt-on.
James' recent infrastructure and core plus infrastructure transactions includes advising:
  • Consortium of Aware Super and Hastings managed funds – on its successful bid for the NSW land titles office for $2.6 billion.
  • Aware Super – on its successful bid for the Victorian land title office for $2.9 billion and its acquisition of a 49.9% interest in Lendlease Retirement Living Trust.
  • Keppel Infrastructure Trust – on the acquisition of leading chemicals business Ixom for an enterprise value of $1.1 billion.
  • NSW Treasury – on long term leases of the NSW electricity transmission and distribution networks, Ausgrid ($16 billion) and Endeavour ($7.6 billion).
James' recent founder shareholders experience includes advising:
  • Fastway Courier – the founder shareholders on the sale of their business to Aramex PJSC.
  • Timezone – the Steinberg Family and related entities in connection with Quadrant Private Equity's investment in Timezone Family Entertainment Centres.
  • My Muscle Chef – the founders of My Muscle Chef in connection with Quadrant Private Equity's investment in their business.
  • Clearskincare Clinics – the founders of Clearskincare Clinics in connection with Australian Pharmaceutical Industries’ investment in their business.

  • Healthe Care – on the sale of its surgical hospitals business to Pacific Equity Partners.
  • Quantium – on its expanded partnership with Woolworths Group, management equity plan and general corporate matters.
  • Investa Property Fund – on the sale of office portfolio to China Investment Corporation for $2.45 billion and scheme of arrangement with Oxford Properties Group for a $3.4 billion.
