The A-Suite terms of use

Welcome to the Accelerate Suite (A-Suite). We have created the A-Suite to help lead you through the legal considerations and formalise the documentation required to successfully establish your company.

By downloading, accessing or using the A-Suite, you agree to these terms and conditions of use (Terms of Use). The Terms of Use include our terms, our legal disclaimer, our privacy policy, any other terms or conditions on this website and any other terms and conditions that we provide to you from time to time.

We may change these Terms of Use for any reason, at any time and without telling you. By continuing to use the A-Suite, you accept the amended Terms of Use. A copy of the most current Terms of Use is displayed on this website and will be replaced with the most recent version if and when they are amended. These Terms of Use are in no way limited or altered by any other terms or conditions on this website.

Our details

The A-Suite is provided by Allens (ABN 47 702 595 758), a general partnership formed under the laws of New South Wales operating in alliance with Linklaters LLP. Linklaters LLP is a limited liability partnership registered in England and Wales with registered number OC326345. It is a law firm authorised and regulated by the Solicitors Regulation Authority (www.sra.org.uk). Allens is a separate and independent legal entity from Linklaters LLP.

The A-Suite is not legal advice

The A-Suite (which includes guidance notes, other publications, or other information associated with the A-Suite) is intended only to provide you with an overview of key information and a framework of legal documentation to assist you in establishing your company. The A-Suite is not intended to be comprehensive and it does not constitute and must not be relied on as legal advice. We attempt to ensure that the A-Suite is current as at the date it is made available on the website, but the law or other circumstances may have changed since this time and we do not guarantee the currency of the A-Suite.

We recommend that you seek specific legal or other professional advice before acting or relying on any part of the A-Suite. We are not responsible for any action taken or not taken in reliance on the A-Suite.

We can provide you with specific legal advice tailored to your circumstances if requested by you and subject to additional terms of engagement.

Updates to the A-Suite

We may provide updates to the A-Suite from time to time but we are under no obligation to do so. We may notify you of such updates and/or charge you to access such updates, at our absolute discretion.

Unacceptable activity

You agree that you will not use the A-Suite in any way which will infringe the rights of any third parties or break the law or breach these Terms of Use. You will not post any content to the website or make, or attempt to make, any changes to the website or the A-Suite (except as expressly permitted in these Terms of Use) or introduce any viruses that will affect the website or the A-Suite.

No solicitor/client relationship

Your use of the A-Suite and the receipt of any information from us is not intended to create and does not create a solicitor-client relationship between you and Allens, unless such information is the subject of separate terms of engagement agreed in writing between you and Allens.

Disclaimer

Allens makes no warranties or representations about the A-Suite, including but not limited to warranties or representations that the A-Suite will be complete, accurate or up-to-date, that access to the A-Suite will be uninterrupted or error-free or free from viruses, or that this website will be secure.

We reserve the right to restrict, suspend or terminate without notice your access to the A-Suite or any feature of the A-Suite at any time without notice and we will not be responsible for any loss, cost, damage or liability that may arise as a result.

Jurisdiction

We do not represent that we hold the authorisations and approvals required to provide legal advice in all jurisdictions where the A-Suite may be viewed or received. You must ensure that access to and use of the A-Suite is in accordance with the laws of your jurisdiction.

Limitation of Liability

We exclude, to the maximum extent permitted by law, all liability which may arise as a result of or in connection with the use of the A-Suite.

Where liability cannot be excluded, any liability incurred by us in relation to the use of the A-Suite is limited at our option to the resupply of the goods or services or (where applicable) repair or replacement or payment of the cost or having the goods or services resupplied, repaired or replaced, or otherwise to the extent provided for by the Australian Consumer Law.

To the extent permitted by law, we will not be liable for any indirect, incidental, special or consequential loss.

Our intellectual property

Unless otherwise indicated, we own (or license from a third party) the copyright and other intellectual property rights in the A-Suite.

You may only access and use the A-Suite as required to establish the company for which we provided you with access, unless you have prior written approval from us.

You must not reproduce, exploit or use any part of the A-Suite for the purpose of re-sale, to offer or make available products or services similar to Allens or the A-Suite or for any purposes other than to assist you as required to establish the company for which we provided you with access. You must not make available any part of the A-Suite on any other website.

You may amend the documents in the A-Suite in order to tailor them to your circumstances and you may provide electronic or hard copies of those documents to your legal or professional advisers to do the same on your behalf. You may also print out any content for your personal use.

All other use, copying or reproduction of the A-Suite or any part of it is prohibited (except to the extent permitted by law).

Links from the A-Suite

The A-Suite may be linked to other websites over which we have no control. We make no representations about the accuracy of information contained on those websites. We are not liable for any content on those websites.

Collection Notices

We collect your personal information so we can provide and market services to you. Your information may be shared with other members of the Allens Group both in Australia and overseas. Spam

We may include electronic addresses in the A-Suite to facilitate communication relating to particular documents within the A-Suite. This is not to be inferred as consent by us or the relevant addressees to receiving unsolicited commercial electronic messages or spam.

Severability

Any provision of these Terms of Use that is prohibited or unenforceable in any jurisdiction is ineffective in that jurisdiction to the extent of the prohibition or unenforceability. That does not invalidate the remaining provisions of these Terms of Use and it does not affect the validity or enforceability of that provision in any other jurisdiction.

Governing Law

Your use of the A-Suite and these Terms of Use are governed by the law of New South Wales and you submit to the non-exclusive jurisdiction of the courts exercising jurisdiction in New South Wales.

In these Terms of Use:

Allenswe and us refers to Allens (ABN 47 702 595 758), a general partnership formed under the laws of New South Wales and our has a corresponding meaning. Further information about Allens can be found in section 1 of these Terms of Use.

Personnel means officers, directors, employees, partners, agents, contractors and representatives.

You refers to you or the person, entity, organisation, company or business on behalf of which you are seeking to access the A-Suite and your has a corresponding meaning.
