About Rod Aldus
Rod is a Partner in our Banking & Finance team with deep experience acting for lenders, sponsors and corporates on complex structured finance, project finance, asset finance and cross‑border funding transactions. His practice includes financing packages for infrastructure, resources, energy, oil and gas, healthcare, accommodation and transport assets, together with portfolio, back-leverage, corporate and acquisition financings.
Rod’s recent relevant experience includes:
Financing
- Zenith Energy: advising in respect of its $1.9bn portfolio financing arrangements for off-grid power projects, including its solar and wind power generation
- Liontown Resources Limited: advising in respect of the project financing for the Kathleen Valley project, including the Ford and LGES financings and the commitments from banks and government lenders
- GenusPlus: advising the lenders on the $429m syndicated facility agreement.
- Ramelius Resources: advising the bank group to Ramelius on its corporate style loan arrangements
- Northern Star Resources Limited: advising the bank group to Northern Star Resources Limited on the provision of new and existing debt facilities to fund the $1.16bn acquisition of Newmont Goldcorp Australia's 50% interest in Kalgoorlie Consolidated Gold Mines Pty Ltd (KCGM) and associated assets
- Wesfarmers: advising on its corporate financing arrangements, including a $400m bilateral ESG-linked loan, including a number of refinancings with its relationship banks.
- EMECO: advising the lenders on the $355m syndicated facility agreement.
Derivatives
Rod is also a market leader in derivatives and other structured products. He has expertise acting for various superannuation funds, financial institutions, corporates and other investment vehicles across a range of financial products, including derivatives, repos, securities lending, prime brokerage and collateral management. He has familiarity with industry standard documentation, as well as purpose-specific documentation such as those prepared by proprietary banks and other organisations. Rod's recent experience in this space includes:
- IFM Investors: in relation to Atlas Arteria and its $2bn acquisition of a 19% interest in Atlas through equity derivatives
- Unibail-Rodamco: in relation to Westfield Corporation and its acquisition of its initial 5% interest using equity derivatives
- PSP: in relation to Costa Group and its acquisition of interests using equity derivatives
- Inhousing: on the inhousing of all derivative documentation for superannuation funds
- Initial Margin Phases 5 and 6: on the full implementation of bank custodian documentation for a number of superannuation funds and investment managers
- Transaction reporting: numerous clients on potential breaches of the derivative transaction reporting rules
- Australian swap advice: advising numerous onshore and offshore clients in relation to all regulatory requirements affecting swaps over Australian listed entities, including licensing requirements and insider trading, including in relation to potential breaches.
