M&A, regional
Advised Macquarie International Infrastructure Fund (MIIF) on the US$178 million
acquisition of a 20 per cent stake in Taiwan Broadband Communications from Och-Ziff
Capital Management Group.
Acting for France's Schneider Electric on the S$1 billion Clipsal acquisition and joint venture covering 13 regional jurisdictions in Asia and the Middle East.
Acting for Healthscope on its acquisition of Quest Laboratories in Singapore.
M&A, China
Acted for Star TV, Hong Kong in its acquisition of a 20 per cent stake in
Indonesian national terrestrial television broadcaster, PT Cakrawala Nadalas
Televisi (ANTV), and the formation of a related joint venture company.
Acted on a range of acquisitions for Australia Post, Burns Philp, Zuellig & Woo, Consolidated Rutile Limited, Lafarge, Terex, East Balt Bakery Limited and Boral Limited; acting on disposals of interests in PRC companies for Iluka and Boral; and advising on mergers for Boral-Lafarge of their Asian plasterboard businesses and Philips-Conoco on the China side of the merger.
Hamersley Iron - Baosteel JV, Australia & China
Advising on the establishment of the 20 year joint venture for the
construction and operation of two iron ore
mines in Australia and for the sale of 200 million tonnes of iron ore to
Baosteel.
Anti-dumping, China
Representing China's various national import/export corporations in relation
to anti-dumping actions taken against them.
Arbitration and litigation, Hong Kong
Recently handled a major construction arbitration for a leading regional
construction contractor, and advised a major
Hong Kong company in relation to the termination of a failed joint venture.
Securitisations, Korea
Acting as international counsel for global monoline insurer MBIA on the
credit wrap of the cross-border securitisation of US$250 million of credit card
receivables organised by Kookmin Credit Card Company; and on the first
cross-border securitisation of card loans by Korean organiser Samsung Card Co
involving US$500 million issuance of debt securities in the US private placement
markets.
Oil & gas, regional
Acting for Santos on all aspects of the US$3 billion Bayu-Undan LNG and pipeline development in the Timor Sea.
Acting for PowerGas, a subsidiary of Singapore Power which operates the Singapore section of the Indonesia to Singapore gas pipeline, in negotiations for a gas transportation agreement with Island Power Company in connection with the Island Power Project.
Social infrastructure, Singapore
Acting for one of the bidders to develop Singapore's S$2 billion integrated entertainment resort.
Acting for an international university on the establishment of a 15,000-student campus in Singapore.
Bancassurance, Indonesia
Advising AXA in relation to the formation of a joint venture with Bank
Mandiri and the establishment of a Bancassurance business in Indonesia.
Insurance, Thailand
Acted for IAG in its acquisition of Royal & SunAlliance Insurance Thailand
Property, Thailand
Advising Siam Chaophraya Holdings Co, the owner of a major hotel, on several
large property transactions.
Electricity sector reform, Indonesia & Philippines
Advising the Government of Indonesia on the establishment of new regulatory
arrangements to facilitate electricity sector reform; and advising on the
creation of a competition policy and regulation framework for the Philippine
electricity sector.
Petroleum industry and maritime boundary claims, Cambodia
Ongoing advice to the Cambodian Government on a broad range of policy,
investment, legislative and international legal issues relating to the Cambodian
petroleum industry and Cambodia's maritime boundary claims; and advising on the
execution of a number of petroleum agreements with major international petroleum
companies.
Mining & resources, PNG
Representing a major party in the FEED stage
of the PNG Gas Project including advising on arrangements with project sponsors,
preparing gas sales and transportation agreements, advising on financing,
assisting with regulatory approvals and advising on community landowner issues.
