Allens has advised IREN Limited on the Australian law aspects of its US$550 million offering of convertible senior notes.

IREN is an Australian-domiciled, NASDAQ-listed vertically integrated data centre business powering the future of Bitcoin, AI and beyond utilizing 100% renewable energy. Strategically located in renewable-rich, fibre-connected regions across the US and Canada, IREN’s large-scale, grid-connected facilities are purpose-built for the next generation of power-dense computing applications.

This is IREN’s second convertible notes offering, following its US$440 million issuance in December 2024, on which Allens also advised.

'This transaction highlights the growing convergence of digital infrastructure and clean energy, and the sophistication of Australian companies raising capital offshore. We were pleased to support IREN again on this strategically significant offering,' said lead partner Julian Donnan.

The Allens team advised on all aspects of the offering, drawing on expertise in securities law, debt capital markets, derivatives and tax.
