Allens and Linklaters have advised SeaTown Private Credit Master Fund III and Vietnam Oman Investment (VOI) on their participation in a US$255 million investment in Vinpearl, a leading Vietnamese tourism and entertainment company listed on the Ho Chi Minh City Stock Exchange.
The investment is one of the few large-scale structured equity investments in a Vietnamese listed company, using convertible dividend preference shares.
'This transaction demonstrates the increasing maturity of the Vietnam market and the growing demand for more sophisticated investment structures', said lead partner Linh Bui.
The transaction also continues a broader trend towards innovative capital solutions in Vietnam's capital market space. Allens previously advised Bain Capital on its US$250 million investment in Masan Group through convertible dividend preference shares, a landmark transaction of its kind at the time.
